A pan-European real estate asset manager focused on core countries (France, Germany, Luxembourg and Switzerland), is looking for a
Fund Corporate Officer (m/f)
in Luxembourg.
Your responsibilities/ main tasks:
- Performing the corporate secretarial function of a Management Company with UCITS and AIFMD licenses
- Ensuring that compliance obligations (under relevant laws and requirements of regulatory authorities) are met
- Convening and coordinating board and shareholder meetings (proxy organization, recording of attendance lists, minute-keeping, collation of meeting documents, timely distribution to the participants); drafting of written resolutions
- Drafting of corporate and contractual documents for the funds and their entities
- Assisting in the set-up or liquidation of investment funds and SPVs (e.g. obtaining identifier codes, opening bank accounts, certifying documents, complying with auditory and CSSF requirements)
- Ensuring that all statutory filings are carried out by a given deadline (e.g. deposit of annual accounts and notes with the Company Register and the CSSF)
- Organizing and retaining statutory documents (e.g. material documents, minutes, agreements)
- Assisting with corporate governance issues (e.g. KYC/AML, reconciliation of depositary)
- Maintenance of share registers
- Assistance in investments (e.g. liaising with law firms & notaries, collection of relevant documents for Custody)
- Contact person for investors (e.g. opening register accounts, coordination of capital calls & distributions)
- Coordinating and assisting with quarterly and yearly reportings
Your profile:
- At least 3 years of experience in a comparable position in a fund administration, a domiciliation agent or management firm in Luxembourg
- Good knowledge of company law
- Professional experience in the investment funds industry
- Exposure to private equity and real estate structures is considered as an advantage
- Excellent English communication skills (written and spoken); German and/or French is of benefit
- Motivation to evolve in a growing and challenging environment
- Strong service orientation is essential
- Ability to manage multiple priorities whilst remaining highly accurate
- A team player with excellent communication skills
